1. Agreement Overview
This service agreement governs use of www.scrya.com and related websites and applications. Users must accept all terms and the Privacy Policy before using the site.
Use of the Site constitutes your acceptance of these terms and conditions, which take effect immediately on your first use.
BG Mobile Apps Pty Ltd reserves the right to modify terms, which become effective upon posting. Users confirm acceptance each time they use services.
2. Usage Eligibility
Scrya provides software services through individual or business accounts. Some features require registration. Users bear sole responsibility for maintaining account credential confidentiality.
Access to the Service is a privilege, not an entitlement, and Scrya may change its services and suspend, terminate, or restrict your account at any time.
The service is available only to those who can legally bind themselves to contracts. Business account registrants must have authority to bind their organization. Account usage rights are non-transferable and cannot be shared or sold.
3. Fees and Services
3.1 Services
The platform may offer:
- Data organization and management features
- Automated notifications and alerts
- Analytics and reporting tools
- Integration with third-party services
3.2 Service Plans and Billing
Access comes through subscription plans billed monthly or annually, with varying tiers and features.
All fees are payable in advance according to the billing cycle you select.
Subscription fees are non-refundable except where legally required. Users retain access through their current billing period after cancellation.
3.3 Changes to Fees and Services
The company may modify subscription plans, features, and fees. Fee changes take effect at the next billing period start.
Unless otherwise stated, all fees are quoted in US Dollars.
3.4 Business Accounts
Business accounts with multiple users are priced based on user count and service tier. Account owners manage user access and receive billing for all users.
4. Fraud
The company may suspend or terminate accounts suspected of fraudulent activity in its sole discretion without notice or liability.
Users warrant that personal information provided is accurate and complete in all respects and is not misleading in any way.
5. Personal Information
5.1 Definition
Personal Information encompasses identification data requested during registration, including login credentials, contact information (name, address, phone), and company details (name, address, ABN/ACN).
5.2 Accuracy Requirements
Users must maintain accurate personal information and notify Scrya immediately of any changes or discovered inaccuracies.
5.3 Prohibited Content
Personal Information must not cause harm to the company or third parties and must not contain malicious code, viruses, Trojan horses, worms, time bombs, or similar harmful routines.
6. Access and Interference
Users agree not to use automated devices to monitor or copy web pages without written permission. Interference with proper site operation is prohibited, including imposing unreasonable or disproportionately large load on our infrastructure.
Content cannot be copied, reproduced, or modified without permission from BG Mobile Apps Pty Ltd or authorized parties.
7. Breach
The company may delay access, issue a warning, restrict activities, temporarily suspend, indefinitely suspend, or terminate membership without notice if users breach the agreement or policies, provide unverifiable information, or may cause loss, damage, or unlawful harm.
8. Privacy
A separate Privacy Policy applies to all users and forms part of this agreement.
9. No Warranty
9.1 Service Disclaimer
The company and suppliers provide the site and services on an "AS IS" basis, and without any warranty or condition, express or implied. Continuous, uninterrupted, or secure access is not guaranteed.
9.2 Limited Remedies
For breach of non-excludable conditions, liability is limited to either: (1) resupplying services, or (2) paying the cost of resupplying services, at Scrya's discretion.
10. Liability Limit
10.1 Damage Exclusions
TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE, OUR AFFILIATES AND RELATED ENTITIES OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.
Total liability to users or third parties is limited to the greater of: (1) fees paid in the prior 12 months, or (2) AUD$100.
10.2 Consumer Protections
These limitations do not exclude liability where applicable law prohibits such exclusion, particularly for consumers under Australian trade practices legislation.
11. Indemnity
Users agree to indemnify and hold the company and related entities harmless from and against any and all claims, demands, proceedings, losses and damages arising from breach or violation of laws and third-party rights.
12. Legal Compliance
Users must comply with applicable domestic and international laws, statutes, ordinances, and regulations.
YOU ALONE, AND NOT SCRYA, ARE RESPONSIBLE FOR ENSURING THAT YOUR ACTIVITIES CONDUCTED ON OUR SITE ARE LAWFUL.
13. No Agency
No agency, partnership, joint venture, or employee-employer relationship is created. Users lack authority to bind BG Mobile Apps Pty Ltd.
14. Notices
Notices must be sent by email to [email protected] or to the user's registered email address. Email notices are deemed given 24 hours after sending.
15. Mediation and Dispute Resolution
Any dispute may be settled through independent, confidential mediation at a commercial disputes centre.
You and Scrya agree to be bound by the outcome of such mediation.
Each party bears its own costs, splitting joint costs equally.
16. General
The service is offered by BG Mobile Apps Pty Ltd in Sydney, NSW, Australia. The agreement is governed by New South Wales law with exclusive jurisdiction in NSW courts. If any provision is invalid, it may be removed while others remain enforceable.
17. Third-Party Platform Integration
17.1 Single Sign-On (SSO)
Third-party authentication services are subject to both this agreement and the respective provider's terms.
17.2 Mobile Applications
Apps downloaded from authorized stores are between users and BG Mobile Apps Pty Ltd, not the platform providers.
17.3 Subscription Management
Platform-based subscriptions are charged at purchase confirmation and auto-renew unless disabled 24 hours before expiration.
